Who we are

Noodle is made by Off Script Foundry, Inc., a Delaware corporation (“we”, “us”, “our”). These Terms of Service are the agreement between you and Off Script Foundry, Inc. covering the Noodle website, the Noodle apps, and everything inside them.

By creating an account or using Noodle, you agree to these terms. If you do not agree, please do not use Noodle. They work alongside our Privacy Policy, which explains what we do with your family’s information.

Who can use Noodle

You must be 18 or older to hold a Noodle account. Accounts belong to parents and guardians. A student uses Noodle through the student profile on a parent account, never through an account of their own.

When you add a student profile you confirm two things: that you are that child’s parent or legal guardian, and that you consent to us collecting and using their information in the ways set out in the Privacy Policy. You can withdraw that consent whenever you like by deleting the profile or closing the account.

You are responsible for everything that happens on your account, including everything the student does with it. Keep the password to yourself.

An account is for one household. Schools, tutoring centres, districts and other organisations need a separate written agreement with us, so write to contact@offscriptfoundry.com before deploying Noodle to students who are not your own children.

What Noodle is, and what it is not

Noodle reads a photo of a maths worksheet, works out where the student went wrong, and builds a short game that teaches those particular ideas before walking the student back through the real worksheet.

Noodle is a study aid. It is not a teacher, not a tutor of record, not a grade, and not an assessment. It does not replace school, and it is not a substitute for professional educational, medical or psychological advice about a student.

Noodle is built with AI, and AI gets things wrong. We use AI models to read handwriting, mark answers and write explanations. We check the arithmetic we can check automatically, and errors will still reach the screen: a misread digit, a mismarked answer, an explanation that is confidently wrong. Treat what Noodle says the way you would treat a bright, fast, occasionally mistaken helper.

• Do not submit Noodle’s output as the student’s own schoolwork.
• Do not rely on Noodle where being right is what counts, such as a graded exam, an application, or any decision about a student’s education.
• Do not use Noodle to complete work a school requires the student to complete unaided. Whether Noodle is permitted for a given assignment is between you and the school.

Your account

• Give us accurate information when you sign up, and keep it current.
• Keep your password secret, and tell us at contact@offscriptfoundry.com as soon as you suspect anyone else has it. We may suspend an account while we deal with a security problem.
• Do not share your login, and do not let anyone use the account to reach a child other than your own.
• You can close your account at any time by writing to contact@offscriptfoundry.com. What happens to your data then is set out in the Privacy Policy.

What you upload

Worksheets, photos, answers and everything else you put into Noodle stay yours. We claim no ownership of any of it.

To run the service we need permission to handle it. You grant Off Script Foundry, Inc. a non-exclusive, worldwide, royalty-free licence to store, copy, display, adapt and process your content solely to operate, secure and support Noodle for you. The licence ends when you delete the content, apart from copies sitting in backups until they age out on their ordinary cycle.

We do not use your family’s content to train AI models, and the AI providers we use are contractually barred from training on it either. The full list of who processes what is in the Privacy Policy.

You confirm you have the right to upload what you upload. Worksheets are frequently the copyright of a teacher or a publisher: photographing one so your own child can study from it is normally fine, and redistributing it is not. That judgement is yours to make.

Please do not upload material that identifies other children, such as a class list or a shared answer sheet with classmates’ names on it, anything unlawful, or anything you would not want handled by the processors we name in the Privacy Policy.

Rules of use

While using Noodle, do not:

• break the law, or help anyone else do so;
• upload malware, or try to disrupt, overload or probe our systems;
• scrape, crawl or bulk-download Noodle, or use automated tools against it;
• reverse engineer Noodle, or try to extract our prompts, models, quest-generation logic or source code;
• resell, sublicense, republish or redistribute quests or any other part of Noodle;
• work around usage limits, access another family’s account, or interfere with anyone else’s use of the service;
• use Noodle for anything other than a student’s own learning, or present its output as the work of a qualified professional.

We can suspend or close an account that breaks these rules. Where it is reasonable and lawful to do so, we will tell you first and give you a chance to put it right.

Price and plans

Noodle’s core is free today. If we introduce paid plans, we will show you the price and the terms before you pay anything, and we will give you notice before any pricing change affects an account you already hold.

Where you do buy something, taxes may be added at checkout, and any refund terms will be stated at the point of purchase.

We are still building

Noodle is early. Features will change, some will be withdrawn, and there will be periods of downtime. We may modify or discontinue any part of the service at any time. If we retire something your family depends on, we will give reasonable notice and a way to take what is yours with you.

Our side of it

Noodle itself is ours: the name, the wordmark, the artwork and characters, the quest and game design, the software, and the structure of the lessons it generates, along with everything our licensors contribute. These terms give you a personal, non-transferable right to use Noodle within your household, and nothing further.

If you send us feedback or an idea, we may use it freely and without any obligation to you. Please do not send us anything you consider confidential.

Ending this agreement

You can stop using Noodle and close your account at any time. We may suspend or terminate your access if you materially breach these terms, if keeping the account open would expose us or another user to legal risk, or if we stop offering Noodle altogether.

When the agreement ends, the sections that are meant to outlive it do: ownership, disclaimers, limits on liability, indemnity, and governing law.

No warranty

Noodle is provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement, and any warranty that the service will be uninterrupted, secure or error-free, or that its marking, explanations or answers will be accurate or suitable for a given student.

Some jurisdictions do not permit these exclusions, so parts of this section may not apply to you. Nothing here limits any liability that cannot lawfully be limited.

Limits on liability

To the fullest extent permitted by law, Off Script Foundry, Inc. is not liable for indirect, incidental, special, consequential or punitive damages, nor for lost profits, lost data, or any educational or academic outcome, arising out of or relating to your use of Noodle.

Our total liability for all claims relating to Noodle is limited to the greater of the amount you paid us in the twelve months before the claim arose, or USD 100.

None of this limits liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot be limited under the law that applies to you.

Indemnity

If someone brings a claim against us because of content you uploaded or because you broke these terms, you agree to cover our reasonable costs and damages in defending it. This does not apply to claims caused by our own wrongdoing, and we will tell you promptly about any claim we ask you to cover.

Changes to these terms

We may update these terms. When a change is material we will tell you by email or in the app at least 14 days before it takes effect, and the date at the top of this page will change. Carrying on with Noodle after that means you accept the new terms; if you would rather not, close your account.

Governing law and disputes

These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute, and you and we each consent to venue there.

Talk to us first. Before filing anything, write to contact@offscriptfoundry.com describing the problem and what you would like done about it. Most things are fixable in an email, and we will extend you the same courtesy. If it is not resolved within 30 days, either of us is free to go to court.

Nothing here prevents either of us from seeking an injunction where one is warranted, or you from bringing a claim in a small-claims court. If a court finds any part of these terms unenforceable, the rest stays in force.
